Nomination & Remuneration Committee

The Company has decided to combine the Nomination and Remuneration Committees. The Nomination and Remuneration Committee consists of three Non-Executive members of the Board of Directors, appointed by the Board of Directors upon the proposal of the Committee itself. The Committee is composed of a majority of Independent Directors.

The members possess the necessary expertise and knowledge of the remuneration policies of listed companies. The Board of Directors also appoints the Chair of the Committee, who may be the Chair of the Board.

The term of office of each member of the Nomination and Remuneration Committee shall not exceed their mandate as Director and may be renewed concurrently with it.

The Committee assists the Board of Directors in formulating proposals relating to the company’s remuneration policy for non-executive directors, members of the executive management, and members of the Board committees, as well as any periodic revisions of this policy.
